Terms of Service

🏢1. Who We Are & Scope

These Terms of Service ("Terms") are an agreement between you and MedSync Pro ("we", "us", "our"), a Pakistan-based software company. They govern your use of all software products and services published by MedSync Pro, including inventory management and related business and clinical tools:

• PharmacyKPIs — hospital pharmacy performance portal
• VetAssist — veterinary diagnostic system
• RxCheck — drug interaction checker
• Digital Formulary — hospital formulary generator
• MedRemind PK — medication reminder app
• RxSmart — pharmacy point-of-sale system
• StockPulse — inventory, sales & procurement management system

By installing, accessing, or using any of our products, you agree to these Terms. If you do not agree, do not use the software.

🔑2. License — Not a Sale

Our software is licensed, not sold. Upon payment (where applicable), we grant you a limited, non-exclusive, non-transferable license to use the software on a per-device basis — one license permits installation and use on one device unless your plan explicitly states otherwise.

We reserve the right to suspend or revoke a license in the event of non-payment, chargeback abuse, breach of these Terms, or misuse of the software. Where reasonably possible, we will notify you before revocation and give you an opportunity to remedy the issue.

💳3. Payments & Refunds

Paid products are billed according to the plan you select (e.g., monthly or annual subscription, or one-time license). Payments are non-refundable, except where the software fails to function as described and we are unable to remedy the failure within a reasonable time after you report it to us.

Prices may change over time. Price changes will not affect a subscription period you have already paid for.

💾4. Your Data & Backups

You retain full ownership of the business data you enter into our products. You are responsible for your own business data and for maintaining backups. Where a product offers a backup feature (such as optional Google Drive backup), it is provided as a convenience — verifying that backups are created and restorable remains your responsibility.

How we handle data is described in our Privacy Policy, which forms part of these Terms.

🚫5. Prohibited Uses

You must not, without our prior written permission:

• Reverse engineer, decompile, or disassemble the software, or attempt to extract its source code;
• Resell, rent, lease, sublicense, or redistribute the software or license keys;
• Share a single-device license across multiple devices or businesses;
• Circumvent licensing, payment, or security mechanisms;
• Use the software for any unlawful purpose under applicable law.

Violation of this section may result in immediate license revocation without refund.

⚕️6. Professional Responsibility

Our clinical tools (including drug interaction data, diagnostic suggestions, and formulary content) are decision-support aids, not a substitute for professional judgement. Final clinical, dispensing, and business decisions remain the sole responsibility of the qualified professional using the software.

⚖️7. Limitation of Liability

To the maximum extent permitted by law, MedSync Pro is not liable for any business losses — including lost profits, lost revenue, lost data, business interruption, or indirect or consequential damages — resulting from the use of, or inability to use, our software.

Our total aggregate liability for any claim arising out of these Terms shall not exceed the amount you paid us for the software in the twelve (12) months preceding the claim.

🛠️8. Availability & Changes

We work hard to keep our products reliable, but software is provided "as is" and we do not guarantee uninterrupted or error-free operation. We may update, modify, or discontinue features with reasonable notice where changes are material.

🇵🇰9. Governing Law

These Terms are governed by and construed in accordance with the laws of Pakistan. Any disputes arising from these Terms or your use of our products shall be subject to the exclusive jurisdiction of the courts of Pakistan.

📝10. Changes to These Terms

We may update these Terms from time to time. The current version will always be posted at this page with a revised "Last updated" date. Continued use of our products after changes take effect constitutes acceptance of the updated Terms.
